ANNOUNCEMENT

Following the 05.05.2017 announcement, the listed company “HALCOR METAL WORKS S.A.”  (hereinafter referred to as the Company or HALCOR), announces to the investors that today, 31.07.2017, it was signed with the non-listed company “ELVAL HELLENIC ALUMINIUM INDUSTRY S.A” which is seated in Athens, 2-4 Mesogeion Avenue and is legally represented (hereinafter referred to as ELVAL), the agreement for transferring two million one hundred ninety thousand four hundred fifty five (2,190,455) common shares which stand for percentage 88.88% of the share capital of the company “SOFIA MED S.A.”, which is seated in Sofia Bulgaria, 4 Dimitar Peshev str., 1528 and is legally represented (hereinafter referred to as SOFIA MED), exclusively owned by HALCOR, for the total price of Euro one hundred one million two hundred thousand (Euro 101,200,000.00), for which HALCOR collected as a down payment, amount of Euro fifteen million (Euro 15,000,000.00), while the payment of the remaining amount of Euro eighty six million two hundred thousand (Euro 86,200,000.00), will be done by 31.12.2017  at the latest.

For the conclusion, under ordinary transaction terms, of the above mentioned sales agreement and the transfer of the shares the permission of General Assemblies of the Shareholders of the two contracting companies was provided, according to the 26.05.2017 and 31.05.2017 decisions of the General Assemblies of their respective shareholders.
