Notification of significant changes in voting rights

ELLAKTOR S.A. (the “Company” or/and the “Issuer”) informs (art. 9 of L. 3556/2007), in compliance with the Directive for transparency, about the notification of significant changes in voting rights of the Company, received on August 23^rd, 2021,  by a shareholder( and obliged persons).

According to the announcement of ELLAKTOR S.A. dated 23 August 2021, following completion of its share capital increase (the “SCI”), decided by the Extraordinary General Meeting on 22 April 2021, the Issuer's fully paid in share capital, amounts to Euro 13,927,680.20, divided into 348,192,005 common registered dematerialized shares, par value of euro 0.04 each, and the total voting rights on the common registered shares amount to 348,192,005, the legal entity ATLAS N.V., which  is controlled by ATLASINVEST HOLDING B.V., which in turn is controlled by Mr. Martialis Quirinus van Poecke, informs  that its participation and voting rights in the share capital of ELLAKTOR SA is as follows:

Number of shares and number of voting rights on 23.08.2021:

1. ATLAS N.V. participated in the SCI of the Issuer (which it received 13,121,100 new common registered shares from the Issuer, representing 3.7684 % of its voting rights). As a result of this the participation of ATLAS NV was formed as follows:
   1. direct participation 9.7977% (i.e.  34,114,860 common registered shares with voting rights),
   2. indirect participation 0% (i.e. 0 common registered shares with voting rights) and

Τotal participation (directly and indirectly) and voting rights 9.7977% (i.e.  34,114,860 common registered shares with voting rights) issued by ELLAKTOR SA.

1. The legal entity ATLASINVEST HOLDING B.V., with registered office in Belgium, (which  controls  ATLAS N.V.), and the natural person Mr. Martialis Quirinus van Poecke, (which  controls  ATLASINVEST HOLDING B.V.), in connection with the above (1) notification, inform, that control totally (indirectly) participation and voting rights 9.798% (i.e. 34,114,860 common registered shares with voting rights) issued by ELLAKTOR SA.   

Additional information

ATLAS N.V. is controlled by ATLASINVEST HOLDING B.V., which in turn is controlled by Mr. Martialis Quirinus van Poecke.

It is noted that with reference to the previous notification of 23.06.2021, no change in the voting rights of ATLAS N.V. in the Issuer over 3% or a threshold crossing has occurred (remains over the threshold of the 5%), that would be subject to a notification according to L.3556/2007.
