ANNOUNCEMENT

MYTILINEOS HOLDINGS S.A. announces that following the election of the members of the Company's new Board of Directors by the General Meeting of the Shareholders held on 08.05.2003, the Audit Committee, in accordance with article 37 par. 1 of Law 3693/2008 on the Audit of annual & consolidated accounts, shall be composed of the following persons: Mr Christos Diamantopoulos, father's name Panayotis; Ms Sophie Daskalaki, father's name George; and Mr Christos Zerefos, father's name Stylianos. In accordance with the Company's Internal Regulations in force, the aforementioned Committee shall report to the Company's Board of Directors by means of submission of regular and ad hoc reports and shall be in constant cooperation with the Internal Audit Department.
