Announcement of Greek law 3461/2006 – Timetable of the Voluntary Tender Offer

With regards to the 5.10.2012 Voluntary Tender Offer of National Bank of Greece (hereafter, Bank) for the entirety of the common shares of Eurobank Ergasias S.A. (hereafter, Eurobank) and especially with regards to what is mentioned in the indicative timetable included in the Information Memorandum, the Bank informs the public that, in performance of the Over The Counter Transfer Agreement dated 20.2.2013, the Offered Eurobank Shares will be transferred to the Bank on 22.2.2013. Following the above mentioned transfer, the Board of Directors of the Bank has been convened to certify the payment of the share capital increase by payment in kind as decided by the 23.11.2012 Β' Reiterative General Meeting of Shareholders of the Bank and the partial coverage of the aforementioned share capital increase in accordance with the 19.02.2013 resolution of the Board of Directors of the Bank, so that the required approvals and registrations by the Athens Exchange and the Ministry of Development, respectively, are timely obtained and the newly issued shares of the Bank are credited to the Investor's Share in the DSS of each of the Eurobank shareholders having accepted the Tender Offer, in accordance with the content of the Information Memorandum, on 26.2.2013.

The Bank will issue a separate announcement on the partial coverage and the certification of the share capital increase of the Bank.
