S&B Industrial Minerals S.A. (the Issuer), pursuant to the provisions of article 14 of Law 3556/2007, article 10 of Law 3340/2005, as currently applicable, and in conjunction with the relevant decisions of the Hellenic Capital Market Commission and the notification and relevant TR-1 form both received by the Issuer on 20 June 2012, announces the following:

By virtue of a private agreement signed on 18 June 2012 (the Transaction) pertaining to the waiver on behalf of  Mrs. Aikaterini G. Kyriacopoulos of the usufructus created on 115,000 common, registered, vote-bearing shares of the Issuer, owned by Mr. Ulysses P. Kyriacopoulos, the total voting rights in the Issuer controlled by Mr. Ulysses P. Kyriacopoulos (i.e. directly and indirectly) changed by 0.23% from 4,997,067 or 9.78% of the Issuer's total share capital and voting rights before the Transaction, to 5,112,067 or 10.0020% of the Issuer's total share capital and voting rights after the Transaction.

It is clarified, that the shareholding interest of Mr. Kyriacopoulos and the control of voting rights exercised by him in the Issuer's share capital and voting rights, is as follows:

1. He directly holds 4,041,144 common, registered, vote-bearing shares out of which he controls the voting rights of 115,000 such shares (the remaining 3,926,144 common, registered, vote-bearing shares, are covered by a usufruct agreement in favor of Mrs. Aikaterini G. Kyriacopoulos, who controls the related voting rights of such shares, while Mr. Kyriacopoulos remains their owner), and
2. He indirectly holds 4,997,067 common, registered, vote-bearing shares, and controls the related voting rights of such shares, through High Gate Holding S.A., which is controlled by Mr. Kyriacopoulos as its sole shareholder..

The above mentioned transaction has been duly notified to the Issuer on 20.6.2012 pursuant to article 13 of Law 3340/2005, by Mr. Ulysses P. Kyriacopoulos in his capacity as Chairman of the Board of Directors of the Issuer.
