For the failure of act for the deadline of article 100 §2 of Law 4548/2018 - Granting of permission for the preparation of a transaction (loan agreement) with a related party

In accordance with articles 101 par 2 of Law 4548/2018 and 4.1.1 (16) of the Athens Exchange Regulation as in force and following the relevant announcement dated 4.7.2025, the company "KIRIACOULIS MEDITERRANEAN CRUISES SHIPPING S.A." (the "Company") notifies the investing public that the deadline of article 100 par 3 of Law 4548/2018 has expired and the license granted by the Board of Directors of the Company at its meeting of 3.7.2025 is considered definitively valid,  in accordance with articles 100 and 101 of Law 4548/2018, for the preparation of a loan agreement with the affiliated party "DE. AL Deutsche Aluminium GmbH" and the receipt from the Company of an interest-bearing loan in the amount of six million five hundred thousand (€6.500.000), with a maturity of one (1) year, a fixed annual nominal interest rate of four percent (4%), starting from the date of disbursement, and repayment of the principal with the corresponding interest in a lump sum in one instalment on the loan maturity date and the interest period, without collateral or other kind of collateral. The above decision of the Board of Directors is valid for six (6) months from its receipt.
