MOTOR OIL (HELLAS) CORINTH REFINERIES S.A. hereby announces that its Board of Directors, at  its meeting dated 15 July 2025, granted special permission for the extension of the duration of a guarantee in favor of the affiliated company ALPHA SATELLITE TELEVISION S.A. for the coverage of the repayment obligation of the current EUR 2.2 million balance of an existing bond loan initially due for full repayment in October 2025 as this repayment, subsequent to an impending amendment of the bond loan terms, will be extended until October 2028.
The payment liability of ALPHA SATELLITE TELEVISION S.A. mentioned above shall arise upon the execution of  an Amendment Deed scheduled to be signed between the foregoing affiliated company and PIRAEUS BANK S.A., as the Sole Bondholder, Bondholder Representative and Paying Agent of the bond loan.  
 

The guarantee extension for EUR 2.2 million by MOTOR OIL (HELLAS) CORINTH REFINERIES S.A. shall be provided to PIRAEUS BANK S.A. 
MOTOR OIL (HELLAS) CORINTH REFINERIES S.A. is the parent company of MEDIAMAX HOLDINGS LIMITED which participates in the share capital of ALPHA SATELLITE TELEVISION S.A. with a total percentage of 50%, i.e., directly with 24.99% and indirectly, through NEVINE HOLDINGS LIMITED, with 25.01%. Hence, MOTOR OIL (HELLAS) CORINTH REFINERIES S.A. and ALPHA SATELLITE TELEVISION S.A. are affiliated parties - pursuant to the articles 99-101 of the Law 4548/2018.
 

The Board of MOTOR OIL (HELLAS) CORINTH REFINERIES S.A. having taken into consideration the fairness opinion report conducted by Quality Audit Services Certified Public Accountants Ltd dated 10 July 2025, deemed  that the extension of the guarantee period under consideration is  fair and reasonable, to the best interests of the affiliated company and of the MOTOR OIL Group and is not expected to impair the interests of the guarantor, of the minority shareholders and of the non-affiliated  parties.

According to the Law 4548/2018 the special permission of the Board of MOTOR OIL (HELLAS) CORINTH REFINERIES S.A. for the extension of the guarantee in favor of ALPHA SATELLITE TELEVISION S.A. is valid for six (6) months.

The present announcement is issued in accordance with paragraph 2 of Article 101 of the Law 4548/2018.
