Call Option Exercise

The company ELLAKTOR S.A. informs the notification, received on July 22^nd, 2025, regarding the exercise of a call option by the shareholder REGGEBORGH INVEST B.V., as follows: 

«Dear Sirs,

With reference to the current Call Option for 5,200,000 ordinary registered voting shares in ELLAKTOR S.A. (“the Issuer”) granted by Motor Oil (Hellas) Corinth Refineries S.A. (“MOH”) to Reggeborgh Invest B.V. (“Reggeborgh”), please kindly allow us to inform you of the following: 

Reggeborgh sent MOH a Call Option Exercise notice dated 21 July 2025 giving them a notice of its intention to exercise it and acquire all 5,200,000 Call Option Shares (1.493% of the Issuer’s share capital and voting rights). 

The completion of the transaction shall take place no later than 25 July 2025 (the “Call Option Completion Date”). 

At this point, Reggeborgh holds 178,072,350 shares / voting rights in the Issuer (51.142%). After the completion of the aforementioned transaction, Reggeborgh will hold 183,272,350 shares / voting rights in the Issuer (52.635%).
