ANNOUNCEMENT OF REGULATED INFORMATION

UNIBIOS Holding Company S.A., after the receipt of relevant notification, hereby discloses the following transaction to the investing public:

On 31 July 2025, a donation of 220,000 shares of the Company was recorded in the Dematerialized Securities System. These shares were transferred by the Chairman of the Board, Mr. Antonios Svoronos, to his wife, Ms. Maria Hacopolos. 

As a result of this transfer, Mr. Antonios Svoronos now directly and indirectly controls a total of 3,324,222 shares and voting rights, representing 19.35% of the Company’s voting rights. Of these, 2,937,336 shares are held directly, and 387,886 shares are held indirectly through the controlled entities “Ifaistos ABEEM” and “Antonios Svoronos & Associates M.I.K.E. Administrative Services.”

It should be noted that, although Ms. Hacopolos’ shareholding percentage is not aggregated with Mr. Svoronos’ percentage for the purposes of Article 9 of Law 3556/2007, which concerns the “obligations to disclose upon acquisition or disposal of significant holdings,” Ms. Hacopolos is nonetheless regarded as a person closely associated with Mr. Svoronos and is subject to the same restrictions and disclosure obligations regarding any of her transactions, pursuant to Article 19 of Regulation (EU) No 596/2014 (Market Abuse Regulation).

This announcement is made in compliance with the obligation to disclose transactions by persons discharging managerial responsibilities, under Article 19 of Regulation (EU) 596/2014 and Articles 9, 10, 14 and 21 of Law 3556/2007.
