Further to the relevant announcement dated April 11^th, 2025, ELLAKTOR S.A. ("ELLAKTOR" or the "Company") informs the investing public that the transfer has been completed by its wholly-owned subsidiary REDS S.A. to ARCELA LTD, a 100% subsidiary of DIMAND S.A. REAL ESTATE DEVELOPMENT AND CONSTRUCTION, SERVICES AND HOLDINGS ("DIMAND"), of 100% of the share capital of the company under the name “GOURNES REAL ESTATE DEVELOPMENT AND MANAGEMENT S.A.” ("GOURNES"), owner of a plot of land of 346,000 sq.m. located in the Gournes area of the Municipality of Hersonissos in Heraklion, Crete.

The total consideration for the aforementioned sale amounted to €40.1m and was calculated taking into account the financial position of GOURNES at the completion of the transaction using the adjusted net asset method.

At the same time, and regarding the transfer of the following properties in Attica:

1. The sale of 100% of the share capital of the companies KANTZA EMPORIKI S.A. (sole shareholder REDS S.A.), and KANTZA S.A. REAL ESTATE DEVELOPMENT, MANAGEMENT AND EXPLOITATION (sole shareholder ELLAKTOR), which own plots of land with a total area of approximately 319,000 sq.m., located at the “Kambas Estate” area, within the Municipalities of Paiania and Pallini, and
2. The sale of a plot of approximately 4,400 sq.m., and a second plot of approximately 1,300 sq.m. on which there is a preserved building of 700 sq.m., both located in the “Kambas Trigono” area of the Municipality of Pallini,

it was agreed to extend the relevant contracts until the fulfillment of certain preconditions, which are expected to be completed by the end of 2025.

The Company will keep the investing public informed of any significant developments regarding the implementation of the above transactions.
