Approval by the Hellenic Competition Commission of the Sale of 100% of the Shares of 

AKTOR CONCESSIONS SINGLE MEMBER S.A.

ELLAKTOR S.A. (hereinafter the “Company” or “ELLAKTOR”), following its announcement dated 30.04.2025, informs the investing public, in accordance with Regulation (EU) 596/2014 of the European Parliament and of the Council and the Athens Stock Exchange Rulebook, that by virtue of its unanimous decision no. 891/2025, dated 15.09.2025, the Hellenic Competition Commission approved the acquisition of 100% of the shares of the Company’s wholly owned subsidiary AKTOR CONCESSIONS SINGLE MEMBER S.A. (hereinafter “AKTOR CONCESSIONS”) by AKTOR SPECIAL PROJECTS – PPP CONCESSIONS SINGLE MEMBER S.A. (hereinafter the “Purchaser”), a wholly owned subsidiary of AKTOR S.A. – HOLDINGS, TECHNICAL AND ENERGY PROJECTS (hereinafter “Aktor”).

Following the above, the completion of the transaction, namely the sale of the entire share capital of AKTOR CONCESSIONS from ELLAKTOR to the Purchaser, is expected to take place within the forthcoming period, pursuant to the specific terms of the binding share purchase agreement dated 30.04.2025. The Company will promptly inform the investing public of any material developments related to the transaction.
