ANNOUNCEMENT

DIVIDEND PAYMENT FOR THE YEAR 2024

The limited liability company with the name "N.VARVERIS-MODA BAGNO S.A." hereby announces that, pursuant to the decision of the annual Ordinary Shareholders' Meeting of September 5, 2025, the distribution of a dividend from the profits of the year 2024 was approved and, in particular, the payment of an amount of 1,112,103 euros, i.e. 0.0591229665 euros (gross amount per share). From the above amount, pursuant to articles 40 par.1 and 64 par.1 of Law 4172/2013, the dividend-proportionate tax of 5% is withheld and therefore the final dividend paid amount (net amount) will amount to 0.0561668182 euros per share. The dividend ex-dividend date was set for Monday, October 20, 2025. After this date, the company's shares will be traded on the ASE, without the right to distribute dividends. The beneficiaries of the above dividend (record day) are those registered in the Dematerialized Securities System (DSS) managed by the "Hellenic Central Securities Depository" (ATHEXCSD), on Tuesday, October 21, 2025. The payment of the dividend will begin on Friday, October 24, 2025 and will be made through the paying Bank ALPHA BANK as follows:

1. Through the Participants of the beneficiaries in the DSS (Banks and Securities Companies), in accordance with the applicable ATHEXCSD Operating Regulations and its relevant decisions.

2. In cases of dividend payment to heirs of deceased beneficiaries, whose securities are held in the Special Account of their share in the DSS, under the management of ATHEXCSD, the dividend payment procedure will be carried out after the completion of the legitimization of the heirs, through ALPHA BANK. Dividends that will not be collected by December 31, 2030, are time-barred (article 250 of the Civil Code, paragraph 15) and the relevant amounts are contained in the Greek State in accordance with article 1 of Law 1195/1942.
