Lapse of the deadline under article 100 §2 of Law 4548/2018 – Granting of permission for the conclusion of a transaction (bond loan agreement) with a related party

In accordance with articles 101 §2 of Law 4548/2018 and 4.1.1 (16) of the Athens Stock Exchange Regulation as in force and following the relevant announcement dated 3.10.2025, the company "KΙRIAKOULIS MEDITERRANEAN CRUISES SHIPPING S.A." (the "Company") notifies the investing public that the deadline of article 100§3 of Law 4548/2018 has expired and the license granted by the Board of Directors of the Company at its meeting of 3.10.2025 is considered definitively valid,  in accordance with articles 100 and 101 of Law 4548/2018, for the conclusion of a bond loan agreement with the related party "GSI Invest GmbH" as the Initial Bondholder and in particular the provision of a bond loan of euro eight million (€ 8.000.000) by the Initial Bondholder to the Company, with a maturity of two (2) years, a fixed annual nominal interest rate of four percent (4%), starting from the date of disbursement, and repayment of the principal together with the corresponding interest in a lump sum in one instalment on the maturity date of the loan and the interest period, without collateral or other collateral.  The above decision of the Board of Directors is valid for six (6) months from its receipt.
