“Thessaloniki Port Authority S.A.” (ThPA S.A. or the “Company”) announces that the Hellenic Corporation of Assets and Participations S.A. (HCAP) informed, by letter dated October 27th, 2025, that Mr. Panagiotis Stamboulidis, non-executive member of the Board of Directors of ThPA S.A. and member of the Audit Committee, is replaced by Mrs. Afroditi Nestora as a new non-executive member of the Board of Directors (article 7 §§6,7 of the Articles of Association of ThPA S.A., article 79 of Law 4548/2018) and of the Audit Committee (article 12 of the Articles of Association of ThPA S.A.).
The Company will proceed with the prescribed procedures for verifying the fulfilment of the suitability criteria, which is a prerequisite for the direct appointment of the member to the Board of Directors of ThPA S.A. (article 4.4 of the Suitability Policy of ThPA S.A.).
Upon completion of the replacement process, a relevant corporate announcement will follow.
