Announcement of resignation of a member of the Board of Directors and his replacement

The company “KIRIACOULIS MEDITERRANEAN CRUISES SHIPPING S.A.” (hereinafter the “Company”) announces that Mr. Theofanis Kiriacoulis has submitted his resignation from the position of Executive Member of the Company’s Board of Directors, effective as of October 31st, 2025.

At its meeting held on November 3rd, 2025, the Board of Directors elected Mr. Panagiotis Tzortzis, son of Theodoros, as a new Non-Executive Member of the Board of Directors, in replacement of the aforementioned resigned member, following the relevant recommendation of the Remuneration and Nominations Committee dated October 31st, 2025, for the remaining term of office of the current Board of Directors.

This election was approved by the Extraordinary General Meeting of November 4th, 2025.
