The Public Limited Company under the name “PROFILE ANONYMOUS COMMERCIAL AND INDUSTRIAL INFORMATICS COMPANY”, with the distinctive title “PROFILE SYSTEMS & SOFTWARE S.A.” (hereinafter the “Company”), in line with its commitment to proper, valid, and timely investor communication and in accordance with the provisions of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014, and further to its announcement dated 01.10.2025 regarding the progress of negotiations for the acquisition of a majority stake in the share capital and voting rights of the Public Limited Company under the name “ALGOSYSTEMS ANONYMOUS TECHNICAL COMMERCIAL INFORMATION TECHNOLOGY AUTOMATION AND METROLOGY COMPANY” with the distinctive title “ALGOSYSTEMS S.A.”, based in Kallithea, Attica, at 206 Syngrou Avenue (hereinafter “ALGOSYSTEMS”), hereby informs the investor community that, following the finalization of the General and Special terms and conditions for the acquisition of at least 87.23% of ALGOSYSTEMS’ paid-in share capital and voting rights, it proceeded on 21.11.2025 to the signing of  a Share Purchase Agreement for common registered unlisted shares (hereinafter the “Agreement”) with the majority shareholders of ALGOSYSTEMS.

The execution of the above Agreement constitutes the first binding milestone toward the acquisition of the aforementioned majority stake in ALGOSYSTEMS, the completion of which is subject to the fulfillment of the terms, conditions, and requirements set out in detail in the executed Agreement.

Based on currently prevailing information, the Company’s Management estimates that the implementation of the above transaction, as per the above conditions, will progress smoothly and will be completed in the immediate future.

Finally, the Company undertakes to duly proceed with a subsequent announcement, providing timely, complete, and appropriate updates to the investor community regarding any material development on the above matter, in accordance with the applicable legislative and regulatory framework.
