ANNOUNCEMENT FOR AMENDMENT OF THE COMPANY’S ARTICLES OF ASSOCIATION

Jumbo announces that the Extraordinary General Meeting of the company’s shareholders which was held on Wednesday, February 4^nd , 2026, at 16:00, at the company’s headquarters at Cyprus street 9 and Idras of Mochato, Attica, attended in accordance with the law either in person or by proxy 955 shareholders, representing 99.666.956 common shares of the total 134.365.561 common shares, equal to the percentage 74,18% of the Company’s paid-up share capital approved: 

On the item 2 of the agenda, the amendment of the article 4 («Οbject») of Company’s Articles of Association was approved as follows:

«Article 4 –Object

[Article 4 of the Articles of Association is reproduced below, incorporating solely the amendment of subparagraph (e) of paragraph 1.2 and the additions of subparagraphs 1.8 to 1.12 to paragraph 1 hereof:]

1. The object of the Company shall be the following:

(e) tobacco products, including novel tobacco products, smokeless tobacco products, electronic cigarettes, smoking pipes and pipes for cigars or cigarettes, as well as parts, components, accessories and other items related to smoking, including indicatively lighters, cigarette papers and matches, and the packaging through which tobacco products or related products are marketed to consumers.

1.8. The importation and trading, on a wholesale and retail basis, through physical points of sale and/or by distance selling via electronic commerce platforms (e-shops), of disinfectants and related products.

1.9. The provision of warehousing and distribution (logistics) services.

1.10. The production of electrical energy from photovoltaic systems.

1.11. The purchase and sale of company-owned real estate.

1.12. Leasing and maintenance services of company-owned and leased real estate not intended for residential use.

2. The General Meeting of the shareholders may, by resolution and amendment of this Article, determine as part of the Company’s purpose the conduct of any other activity.”
