ANNOUNCEMENT

Quality & Reliability S.A. (hereinafter the “Company” or “QNR”), further to its announcements dated 10.07.2025 and 11.07.2025 to the investing public regarding the signing of a binding agreement for the acquisition of a 51% stake in AlphaCons Intelligent Technology Solutions S.A., informs that it has been decided not to complete the said transaction.

Within the framework of the due diligence process, the Company assessed overall legal and financial factors and decided not to proceed with the completion of the transaction.

The above decision does not affect the Company’s strategic direction in the field of SAP solutions, nor does it alter its business plan and growth prospects. The completion of the acquisition of Alexander Moore and its integration into the Group in October 2025 fully covers QnR’s strategic objectives for expanding its activities in the enterprise software and SAP market.

The non-completion of the transaction does not give rise to any impact on the Company’s financial results or its financial position.

QNR continues to evaluate investment opportunities within the framework of its strategy, aiming to strengthen its portfolio of solutions and services and to create long-term value for its shareholders.
