Completion of the Sale of Cambas Properties

ELLAKTOR S.A. (hereinafter the “Company”), further to its announcements dated 11.04.2025 and 10.09.2025, informs the investment community that the transfer has been completed by REDS S.M.S.A., a wholly owned subsidiary of ELLAKTOR, to subsidiaries of DIMAND S.A. REAL ESTATE DEVELOPMENT, SERVICES AND HOLDINGS (“DIMAND”), of properties with a total surface area of 323.4 thousand sq.m. in Attica, at the locations “Ktima Cambas” and “Trigono Cambas,” in the Municipalities of Paiania and Pallini.

Specifically, the following transfers were completed:

1. The transfer of 100% of the share capital of KANTZA EMPORIKI S.M.S.A. (with REDS S.A. as sole shareholder), owner of land plots with a total surface area of approximately 319 thousand sq.m., located at “Ktima Cambas,” in the Municipalities of Paiania and Pallini, to ARCELA LTD (a 100% subsidiary of DIMAND).
2. The transfer of two additional land plots, with surface areas of approximately 4.4 thousand sq.m. and 1.3 thousand sq.m., respectively, the latter including a preserved building of approximately 0.7 thousand sq.m., to THOMAIS AKINITA S.M.S.A. (a 100% subsidiary of DIMAND). These two plots, owned by REDS S.A., are located at “Trigono Cambas” in the Municipality of Pallini.

The total consideration of the transaction amounted to €45.8 million and was determined taking into account the financial position of KANTZA EMPORIKI S.M.S.A., owner of the properties, at the completion of the transaction, in accordance with the adjusted net asset value method, as well as the value of the aforementioned properties of REDS S.M.S.A.

This announcement is made in accordance with Regulation (EU) 596/2014 of the European Parliament and of the Council and the regulations of the Athens Exchange.
