Announcement concerning the completion of the Hive Down

Further to its announcements dated 13 October 2025, 7 November 2025 and 8 January 2026, the société anonyme under the corporate name “Organization of Football Prognostics S.A.” (the "Company”) informs investors that on 24 February 2026: 

The demerger process of the Company by way of hive-down of the gaming sector and its contribution to a newly established société anonyme, 100% subsidiary of the Company (the “Beneficiary Company”) in application of article 54(3), article 57(3), articles 59 to 74 and 140 of Greek law 4601/2019, article 28(3) item ιβ’ of Greek law 4002/2011 and the provisions of Greek law 4548/2018, as in force (the “Hive Down”) was completed upon the registration with the General Commercial Registry (GEMI) of the Decision no. 40289ΑΠ/24-02-2026 of the Ministry of Development (GEMI registration no. 5968042). As of the Hive Down completion date:

  1. The Beneficiary Company, with corporate name “Organization of Football Prognostics Single Member Societe Anonyme”, registered seat in Athens (Athinon Av., 112, P.C. 104 42) and GEMI Registration Number 191625301000, has been substituted as the universal successor to the entirety of the assets and liabilities of the gaming sector transferred to it. Within the context of such universal succession, the Beneficiary Company is substituted automatically by operation of law and without any further formalities, in all rights, obligations, and legal relationships of the Company, including the concession agreements and all types of administrative licenses that have been issued in favour of the Company, insofar as they relate to the gaming sector, and such transfer constitutes universal succession.
  2. The Company has become the sole shareholder of the Beneficiary Company.
  3. The corporate name of the Company has changed from “Organisation of Football Prognostics S.A.” to “OPAP Holding Société Anonyme” and its distinctive title from “OPAP S.A.” to “OPAP Holding”.
