ANNOUNCEMENT

(Pursuant to Article 101 par. 2 of Law 4548/2018)

The company “FLOUR MILLS K. SARANTOPOULOS S.A.” (hereinafter the “Company”) announces to the investing public that, following the meeting of its Board of Directors held on 27 March 2026 and in continuation of the announcement dated 13 March 2026, which was published on the website of the General Commercial Registry (G.E.MI.) under Protocol Number 4045282 and Registration Code 5991125, regarding the granting, pursuant to Articles 99 and 100 of Law 4548/2018, of special permission by the Board of Directors at its meeting of 10 March 2026 for the execution of a preliminary agreement and a sale and transfer agreement of real estate owned by the Company, it was established that the ten-day deadline provided for in Article 100 par. 3 of Law 4548/2018 for the submission of a request for the convening of a General Meeting by shareholders representing one twentieth (1/20) of the Company’s share capital expired without action on 26 March 2026.

The transaction, which constitutes a related party transaction within the meaning of Article 99 par. 2 (a) of Law 4548/2018, αφορά the transfer of a self-contained and independent horizontal property located at 14 Nikita Street, Piraeus, consisting of one half (1/2) undivided share of the property designated as “SHOP 1”, comprising a ground floor area of 720.20 sq.m. with a mezzanine of 82.41 sq.m. and a basement storage area designated as “STORAGE 1” of 534.64 sq.m., excluding the right to build additional floors (air rights), which remains entirely with the Company, to the société anonyme under the name “THEODORON SINGLE-MEMBER S.A. FOR URBAN INVESTMENT MANAGEMENT” (hereinafter “THEODORON MAEDAE”), for a total consideration of €1,300,000.00 (one million three hundred thousand euros) (hereinafter the “Transaction”).
