ANNOUNCEMENT OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES

ALPHA TRUST HOLDINGS S.A. (the “Company”) informs the investors that the following persons discharging managerial responsibilities, pursuant to Regulation (EU) No 596/2014 of the European Parliament and of the Council, have entered into share sale and purchase agreements dated 4 April 2026 for the sale, subject to a condition precedent, of Company’s shares, executed over-the-counter (OTC), as follows:  

a) Mr. Faidon - Theodoros Tamvakakis, Chairman of the Company’s Board of Directors, has entered into an agreement for the sale, subject to a condition precedent, of 703,622 common registered shares with voting rights for a total consideration of € 14,213,164.40 i.e. € 20.20 per share. The aforementioned number of shares includes 20,000 common registered shares with voting rights to be acquired following the exercise of stock option rights. 

b) Mr. Christodoulos Aesopos, Chief Executive Officer of the Company, has entered into an agreement for the sale, subject to a condition precedent, of 226,622 common registered shares with voting rights for a total consideration of € 4,577,764.40 i.e. € 20.20 per share. The aforementioned number of shares includes 20,000 common registered shares with voting rights to be acquired following the exercise of stock option rights. 

c) Ms. Angeliki Chatzidaki, non-executive member of the Company’s Board of Directors and joint beneficiary of a Joint Investor Share, has entered into an agreement for the sale, subject to a condition precedent, of 670.045 common registered shares with voting rights for a total consideration of € 13.534.909, i.e. € 20.20 per share.

This announcement is made pursuant to the provisions of Law 3556/2007 and article 19 of Regulation (EU) No 596/2014 of the European Parliament and of the Council, as in force.
