JUMBO S.A. (hereinafter the "Company") announces that, further to its announcements dated 15.12.2025 and 25.02.2026, the merger by absorption by the Company of its 100% (non-listed) subsidiary "HERALD GREECE SINGLE MEMBER REAL ESTATE DEVELOPMENT AND SERVICES SOCIETE ANONYME 2 " (hereinafter the "Absorbed Company") was completed on the 9th of April 2026, in accordance with the provisions of Articles 7-21 (with the exception of the provisions of cases b, c, and d of paragraph 2 of Article 7, Article 9, Article 10, case b of paragraph 2 of Article 18, and Article 19), Articles 30-35 of Law 4601/2019 in conjunction with the provisions of Law 4548/2018 and Law 5162/2024, as in force.

Decision No. 4066743ΑΠ/09.04.2026  of the competent service of General Commercial Registry (G.E.MI.), by which the merger by absorption was approved, was registered in G.E.MI. on 09.04.2026  with Registration Code Number (K.A.K.) 6019057.

Given that the Absorbed Company was a 100% subsidiary of the Company, the merger was carried out without an increase in the Company's share capital and without the issuance of new shares, and did not result in any change to the Company's shareholder structure. Finally, it is noted that the merger resulted in the strike-off of the Absorbed Company from General Commercial Registry, whereby the latter ceased to exist as a legal entity and the Company became its universal successor in respect of all its legal relations.
