Stock Markets Steering Committee of Hellenic Exchanges

The Athens Stock Exchange, following today's session of its Stock Markets Steering Committee, announces that on Friday, November 18th, 2016 the corporate actions below will be implemented:
- Commencement of trading of 215,273 new common registered shares of "NIREUS S.A." (ISIN: GRS234003002), resulting from the share capital increase realized due to the conversion of 4,850 bonds.
- Decrease in the share capital of "F.H.L. I. KYRIAKIDIS MARBLES GRANITES S.A." (ISIN: GRS309003002), as a result of the cancellation of 433,301 own common registered shares.
In addition, the ATHEX Stock Markets Steering Committee, reviewed the classification of listed companies' shares within the various ATHEX Trading Categories, in the context of the regular semi-annual review and the relevant prerequisites set out in the ATHEX Rulebook.
No transfer within the ATHEX Trading Categories resulted from the review of the companies' data for the period from April 1st, 2016 to September 30th, 2016.
Consequently, the number of the listed companies, on November 15th, 2016, per Trading Category, appears in the table below:

Moreover, the ATHEX Stock Markets Steering Committee approved the delisting of the shares of "C. CARDASSILARIS & SONS - CARDICO S.A." (GRS269003000), "ELECTRONIKI ATHINON S.A." (GRS352003008) and "SHEET STEEL CO." (GRS097103006), which have been under suspension of trading for a period longer than six months and have not proceeded to take actions to remove the reasons for the shares' suspension, within the time limit given by the Athens Stock Exchange (article 2.6.12 and 2.6.14. of the ATHEX Rulebook).
The date of delisting of the aforementioned companies' shares from the Athens Stock Exchange is Tuesday, November 29th, 2016.
Finally, the Stock Markets Steering Committee of Hellenic Exchanges-Athens Stock Exchange (ATHEX) was informed about the forthcoming cross-border merger between "CORINTH PIPEWORKS HOLDINGS S.A." and "CENERGY SA" (Cenergy will acquire Corinth Pipeworks).
The completion of the merger depends both upon the approval of the General Meetings to be held by the companies and the completion of all related formal procedures. According to an announcement by "VIOHALCO", dated September 26th 20165, the merger is expected to be completed during December 2016.
Assuming the merger will be approved by the General Meetings, between "CORINTH PIPEWORKS HOLDINGS S.A." stock will be suspended from trading during December 2016. "CORINTH PIPEWORKS HOLDINGS S.A." announced on October 24th 2016 that it will hold a General Meeting on November 25th 2016.
Consequently, the ATHEX Derivatives Market will support the merger between Corinth Pipeworks and Cenergy on the Derivatives Market as follows:
- All series on Corinth Pipeworks Future without any open positions after the clearing of the November 18th 2016 trading session will suspended from trading.
- All Corinth Pipeworks Future series will be forced to expire on November 30th 2016 irrespectively of the existence of any open positions, even overdue. Open positions will settle normally, according to product specifications, i.e. physical delivery of stocks based on the last published reference price, which will be the closing price of November 30th 2016.
- Any obligations, e.g. market making obligations, related to the specifications of any Corinth Pipeworks stock futures series, remain valid until expiration.
- ATHEXClear will exercise all borrowing positions that remain open on November 28th 2016. As a result, trading on lending products will not be available starting from November 28th 2016.
- In case the General Meetings, to be held by the companies, do not approve the merger, the Corinth Pipeworks stock and corresponding derivative and lending products will keep trading and clearing normally until further notice.
